These Terms of Use govern the services provided to you ("Supplier" or "Affiliate" or "you" ) by Explodely (as defined below).
By signing up for our services, or by downloading, installing or otherwise accessing or using the Service (as defined below), you agree that you have read, understand, and accept the terms and conditions described below (the “Terms of Service”).
You must accept these Terms of Service if you wish to use these Services (as set forth below), else you may not use them. We will provide these Services to you only if you agree to the Terms of Service.
The following conditions must be met to be eligible for QuickPay:
1.1 Your Explodely Account must be at least 90 days old.
1.2 Your account must have at least 45 days of sale transactions. Alternatively, you can submit 3-months processing history from your existing processor.
1.3 You must complete identity verification securely via Plaid. If your reserve balance goes into negative, Explodely reserves the right to debit your bank account the difference and add such funds to your reserve balance. Cancelling or Reversing the debit will lead to automatic suspension of your account.
1.4 Your account Refund Rate must remain below 50% (based on volume).
1.5 Explodely reserves the right to deny any and all applications at its discretion.
1.6 Fees incurred/charged to the Seller for the right to use the QuickPay program are 100% non-refundable under any circumstance.
1.7. If you are a new Seller coming from a competing platform and would like to be considered for the QuickPay program prior to the 3-month minimum requirement, you must demonstrate a refund rate below 50% (by volume) during the last 3 months AND maintain similar volume on Explodely vs the platform you are switching from.
1.8 Applying for and being accepted into this program confirms you have read and agree to all of Explodely's terms and conditions.
The QuickPay service shall be subject to appropriate approval and meeting the Eligibility requirements does not automatically grant approval. Explodely may perform additional verification for security purposes, such as ID verification and proof of address. Explodely reserves the right to terminate the application if the Supplier fails to submit the documentary requirements, or it becomes aware of any misrepresentation or any circumstances which will disqualify the Supplier from availing of the Program. Explodely reserves the right to deny any application at its discretion. Meeting the above requirements do not automatically grant an approval into the QuickPay program.
QuickPay Discount Fees are 3.5% and are 100% non-refundable, under any circumstance. If a QuickPay Offer cannot be accepted or redeemed, you will not be liable for any fees.
Explodely has the right to suspend or terminate the QuickPay service whenever necessary and without prior warning to any Seller.
Explodely may, at any time and for whatever it may deem proper, amend, revise or modify these QuickPay Terms and Conditions, and any such amendments, revisions, or modifications shall bind the User. Any such amendment, revision or modifications may be communicated by Explodely to the Seller through such means (written, electronic or otherwise) which Explodely, at its option, considers appropriate and effective including (but not limited to) mail or courier, electronic mail, short messaging service (SMS), posting on Explodely’s website or other electronic channels. If you continue to use our Services after we made changes, it means that you accept these updated Terms of Service. We will resolve disputes occurring under these Terms of Service based on what Terms were when the dispute arose.
6.1 Explodely's QuickPay Service aims to disburse discounted payments on the "same day" that the QuickPay Offer is accepted via email, or on the due date of the paycheck if you have selected "auto pay". Explodely shall in no way be responsible for QuickPay offers that cannot be accepted, redeemed or that have been rejected.
6.2 Explodely disclaims, as far as the law allows, any warranties, explicit, implied or statutory with relation to the services. Services are offered as-is without restriction and without warranties of any kind, including implied warranties of merchantability or any warranties of performance, fitness for a specific purpose, title and non-infringement. Moreover, Explodely makes no representation or warranties that the service is complete, accurate, up-to-date, reliable, error-free or that there will be no interruption of service. The exclusion of implied warranties is not permitted in some jurisdictions; thus, this disclaimer may not be applicable to you.
6.3 Explodely, its service providers, partners, affiliates or any of their respective officers, directors, agents, or employees shall in no way be responsible for any incidental, special, indirect, incidental, punitive, consequential or exemplary damages, regardless of them being foreseeable or unforeseeable, arising out of, or related to, these Terms of Service. This is irrespective of whether either party was made aware of the possibility or probability of these kinds of damages arising or if claims are centered upon or solutions are looked for in contract or tort. Explodely's total (i.e., not per-claim) liability resulting from, in connection with, or linked to these Terms of Use will be capped at $50,000 to the fullest extent permissible by applicable law.
Applying for and being accepted into the QuickPay program confirms that you have read and agree to Explodely's Terms of Service. In addition to any other rights or remedies afforded Explodely under or otherwise in connection with this Agreement, you agree and acknowledge that you have read and agree to comply with the following policies, which are hereby incorporated by reference into, and made a part of, this Agreement:

These Terms of Use shall be governed by and construed in accordance with US law and the parties irrevocably agree that the US courts shall have exclusive jurisdiction over any claim or matter arising under or in connection with these Terms of Service.
